Terms of Service

1.Acceptance of Terms

By accessing or using Prodara ("the Service"), operated by Prodara, Inc. ("Prodara," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old or the age of majority in your jurisdiction to use Prodara. By using the Service, you represent and warrant that you meet this requirement.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2.Description of Service

Prodara is an AI-powered product intelligence platform that synthesizes customer interviews, support tickets, analytics data, and competitive intelligence into actionable product insights.

The Service includes, but is not limited to:

  • Prometheus AI Agent for automated product intelligence
  • 11 specialized analysis modules
  • Integrations with 25+ third-party platforms
  • AI-generated outputs including insights, PRDs, roadmaps, and recommendations

The Service is available via web application at prodara.ai.

3.Account Registration

To use Prodara, you must create an account through our authentication provider, Clerk. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@prodara.ai if you suspect unauthorized access.

Accounts are for individual use only. You may not share your account credentials with others. Each person who uses Prodara must have their own account.

4.Subscription Plans & Billing

Enterprise plans include SAML SSO, HIPAA Business Associate Agreements (BAA), and dedicated support. Contact us for details.

All billing is processed through Stripe. Paid subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

Downgrades take effect at the end of the current billing period. No refunds are provided for partial months, except where required by applicable law.

5.Your Data & Content

You retain full ownership of all data you upload to Prodara, including but not limited to customer interviews, support tickets, feedback, analytics data, and any other content ("Your Data").

By using the Service, you grant Prodara a limited, non-exclusive license to process, analyze, and display Your Data solely for the purpose of providing the Service to you. This license terminates when you delete Your Data or close your account.

You represent and warrant that you have all necessary rights, consents, and permissions to upload Your Data to Prodara. Any personally identifiable information (PII) of your customers contained in Your Data -- such as names, email addresses, and other identifiers -- is your responsibility. You must ensure that your collection and use of such data complies with all applicable privacy laws and regulations.

Your Data may be processed by third-party AI providers, including Anthropic (Claude) and OpenAI (Whisper), as described in our Privacy Policy.

6.Acceptable Use

You agree not to use Prodara to:

  • Engage in any illegal activity or violate any applicable laws
  • Attempt to reverse engineer, decompile, or disassemble any part of the platform
  • Use automated scripts, bots, or scrapers to access the Service
  • Upload malicious content, including viruses, malware, or harmful code
  • Circumvent usage limits, plan restrictions, or any technical measures we employ
  • Share your account credentials with any other person
  • Resell, sublicense, or provide access to the Service to third parties without our written consent

Violation of these terms may result in immediate suspension or termination of your account.

7.Intellectual Property

Prodara, Inc. owns all rights, title, and interest in and to the Service, including the platform, branding, software, algorithms, documentation, and all related technology. These Terms do not grant you any rights to our intellectual property except as expressly stated.

AI-generated outputs produced by the Service -- including insights, PRDs, roadmaps, recommendations, and analyses -- derived from Your Data belong to you. You may use these outputs for any lawful purpose.

If you provide feedback, suggestions, or ideas about the Service, you grant Prodara a perpetual, irrevocable, royalty-free license to use such feedback to improve the Service without any obligation to you.

8.Third-Party Integrations

Prodara allows you to connect third-party services (e.g., Jira, Intercom, Slack, GitHub, and others). You choose which integrations to enable and are responsible for complying with the terms and conditions of those third-party services.

We store OAuth tokens and related credentials in encrypted form. However, we are not responsible for the availability, accuracy, or performance of any third-party service. Third-party services may change, suspend, or discontinue their APIs at any time.

By connecting an integration, you authorize Prodara to sync and process data from that connected platform as necessary to provide the Service.

9.Workspace & Team Management

Prodara supports workspaces with multiple team members. Workspace owners control member access and permissions, including the ability to invite and remove members, assign roles (admin, member, or custom roles), and manage workspace settings.

Workspace owners are responsible for the actions of all team members within their workspace, including compliance with these Terms. Members are added via an invitation system and must create their own accounts.

10.AI Processing Disclaimer

Prodara uses artificial intelligence, including models from Anthropic (Claude) and OpenAI (Whisper), to process your data and generate outputs. AI-generated outputs are provided for informational purposes only and are not guaranteed to be accurate, complete, or error-free.

You should independently validate all AI-generated insights, recommendations, and analyses before making business decisions based on them. Prodara is not responsible for any business decisions, outcomes, or consequences resulting from reliance on AI-generated outputs.

11.Service Availability

We use commercially reasonable efforts to maintain high uptime and availability of the Service. However, we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to provide advance notice of scheduled maintenance. Prodara shall not be liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet service failures, or third-party service outages (force majeure).

12.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODARA, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

PRODARA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO PRODARA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.Indemnification

You agree to indemnify, defend, and hold harmless Prodara, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Data or any content you upload; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

14.Termination

You may cancel your account at any time through your account settings or by contacting us at support@prodara.ai.

We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Your Data may be deleted after a reasonable retention period following account closure (30 days), unless a longer retention is required by law.

Sections of these Terms that by their nature should survive termination -- including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law -- shall survive termination.

15.Modifications to Terms

We may update or modify these Terms from time to time. When we make changes, we will update the "Effective date" at the top of this page. For material changes, we will notify you via the email address associated with your account.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.

16.Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
